These Terms of Sale (hereinafter "Terms of Sale") are concluded between:
Adrien Savelli (Manifst), sole proprietor, registered head office at 6 Allée des Restanques, 13016 Marseille, France (SIREN: 797 513 470, contact: contact@manifst.net), hereinafter referred to as "the Seller", and any physical or legal entity purchasing a subscription or credit package on the Manifst platform, hereinafter referred to as "the Customer".
Manifst offers four subscription tiers and optional AI credit packs:

Prices are listed in Euros excluding applicable taxes (VAT). Manifst reserves the right to revise pricing at any time. Price updates apply upon subscription renewal: for a monthly subscription, at the first monthly renewal after the notice; a subscription within its commitment period continues on the terms subscribed until its term.
The number of projects attached to each plan applies per user account and covers both the projects the User owns and those the User has joined by invitation, whatever their role. A User who has reached their plan's project count can neither create nor join a further project until they leave one of their projects or move up to a higher plan. External stakeholders listed in a RACI matrix have no account and are never counted.
The Institution License is purchased by an educational institution for a number of seats set out in the purchase order and for a term of twelve (12) months, paid in a single payment. It covers one or more email domains declared by the institution. An account using an address on one of those domains takes a seat once it has confirmed that address through a link sent to it, within the limit of available seats; beyond that, it is placed on a waiting list and attached as soon as a seat becomes free. An account that already has another paid plan does not take a seat. The institution's teachers may be attached to the license without taking a seat. The number of seats ordered is invoiced whether or not the seats are assigned. Attached accounts are reserved for educational, non-commercial use.
Additional artificial intelligence credits may be bought individually, as a one-off payment, from any plan. They do not expire and are only used once the plan's monthly allowance is exhausted. For a subscription taken out from the Service interface, that allowance renews every month on the subscription's anniversary date, whichever billing option applies; a trial period counts as a single period, and the allowance renews when it ends. For other plans, it renews on the first day of each calendar month. It is not carried over from one period to the next.
Orders are placed online via the Manifst application. Subscriptions take effect upon payment confirmation. Order summaries and invoices are made available electronically in the user account section.
The Institution License is ordered by purchase order sent to contact@manifst.net. It cannot be subscribed to from the Service interface.
Payments are processed securely by credit card, SEPA direct debit, or bank transfer (Enterprise plan). Billed amounts are due at the start of each billing period. Invoices are downloadable from account settings.
The Institution License is paid on invoice, by bank transfer or administrative mandate, within thirty (30) days. For public entities, the invoice is filed on the Chorus Pro platform.
Paid plans subscribed from the Service interface are subscribed, at the customer's choice, under one of two billing options: monthly, with no commitment, or yearly, with a twelve (12) month commitment. The provisions on commitment apply to the yearly option only. The Starter plan, free and without a credit card, remains available with no time limit.
Institution License. It runs for twelve (12) months from the start date set out in the purchase order. It does not renew by tacit agreement and opens no trial period. The institution is notified of the end date sixty (60) days and then thirty (30) days in advance, at the contact address it has declared. On the end date, attached accounts return to the Starter plan; their data is retained within the limits of that plan. The provisions below on the trial period, commitment and renewal do not apply to the Institution License.
Trial period. Any first subscription to the Team plan opens a free trial period of thirty (30) days, limited to one trial per account. A valid payment method is stored when the trial opens, but no amount is charged during the trial. The trial may be stopped at any time from the customer's settings area, at no cost and without justification. Stopping it cancels any future payment; the customer keeps full access until the end of the thirty (30) day period, after which the account returns to the Starter plan. Data entered during the trial is retained, within the limits of that plan.
Start of the commitment. At the end of the trial period, and failing cancellation by the customer, the first payment is taken and the subscription continues under the billing option chosen. On the monthly option, no commitment runs. On the yearly option, the twelve (12) month commitment runs from that first payment, not from the date the trial opened. For a subscription without a trial period, it runs from the subscription date.
The customer is notified of the end of the trial period by email, seven (7) days and then three (3) days beforehand. Those messages state the amount that will be charged, the date of the charge, and how to stop the trial.
Payment terms. On the monthly option, the subscription is paid every month, in advance, at that option's monthly rate: for example, €11 excl. VAT per user per month for Team. On the yearly option, prices are quoted per user per month, but the subscription is paid in a single payment covering twelve (12) months, at subscription or, where a trial applies, at the end of that trial. The amount charged is the monthly rate multiplied by twelve: for example, a Team subscription at €9 per user per month gives rise to a single payment of €108 excl. VAT per user for the year.
Payment failure. Where a payment opening a new period is declined (the first payment at the end of the trial, a monthly renewal, or the annual renewal), access to the paid plan's features is suspended immediately and the account returns to the Starter plan, with no grace period. Customer data is retained. Access is restored automatically as soon as a payment is accepted, and the payment method can be updated at any time from the settings area. A decline relating to an adjustment within a period already paid for (a plan change, in particular) does not suspend access and does not affect the paid period.
A monthly subscription renews by tacit agreement every month, on the anniversary date of its first payment, and can be cancelled at any time, effective at the end of the month already paid for. At term, a yearly subscription renews for a further twelve-month period, with no new commitment, and becomes cancellable at any time, effective at the end of the annual period already paid for.
The commitment end date is displayed in the customer's settings area, under Subscription.
Upgrading to a higher plan takes effect immediately and is charged pro rata for the current period; it does not extend the initial commitment. On the yearly option, downgrading to a lower plan takes effect at the end of the commitment; on the monthly option, it takes effect immediately, the difference being credited against the following payments.
Change of billing option. Switching from the monthly to the yearly option takes effect immediately: a new annual period and the twelve (12) month commitment run from that switch, the current month being credited pro rata. Switching from the yearly to the monthly option is only possible at the end of the annual period already paid for, and in any event not before the end of the commitment.
Gifted subscription. The customer may pay for the subscription of another user who is a member of one of their projects, under either of the two billing options above and at the same prices. The paying customer remains solely liable for payment; a gifted subscription opens no trial period and creates no commitment for the recipient. The customer may end it at any time from the project's Team page: it ends at the close of the period already paid for (month or year), with no pro rata refund, and the recipient keeps access until then.
Subscriptions taken out before August 1, 2026, when version 2.0 of these terms came into force, remain governed by the conditions applicable on their subscription date, namely a one-month term renewed by tacit agreement until cancellation.
Cancellation may be requested at any time, in one of two ways. During the trial period, on the monthly option and outside any commitment period, it is done directly from the customer's settings area: during the trial it is free of charge and takes effect at the end of the thirty (30) day period, the customer retaining full access until then and no payment being taken; on the monthly option it takes effect at the end of the month already paid for; on the yearly option outside a commitment it takes effect at the end of the annual period already paid for. During the commitment period, the request is made to contact@manifst.net and takes effect at the term defined in Article 5. No pro rata refund is issued for the remaining period, except in the cases provided for in Article 7.
The customer keeps access to the Service until the cancellation takes effect. Beyond that date, the account falls back to the Starter plan: data remains readable within the limits of that plan, and exportable as CSV or through the API until the account is closed.
The Institution License cannot be cancelled before its end date and gives rise to no pro rata refund. Additional seats may be ordered during the period, on the terms of the purchase order. An attached account can neither change nor cancel the license, which belongs to the institution.
For B2B customers, statutory withdrawal rights do not apply pursuant to applicable commercial laws once digital service execution has started. Consumer customers benefit from a 14-day statutory right of withdrawal from the first payment. Where the subscription was preceded by a trial period, that period therefore runs from the end of the trial, the trial itself having given rise to no payment.
The trial period defined in Article 5 is in addition to this right; it does not replace it.
The satisfaction guarantee and the right of withdrawal do not apply to the Institution License, which is purchased by an institution acting in a professional capacity.
Manifst guarantees that the Service operates in substantial conformity with its documentation. Total seller liability under any order is capped at the amount paid by the customer during the preceding 12 months.
These Terms of Sale are governed by French law. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
