These Terms of Sale (hereinafter "Terms of Sale") are concluded between:
Adrien Savelli (Manifst), sole proprietor, registered head office at 6 Allée des Restanques, 13016 Marseille, France (SIREN: 797 513 470, contact: contact@manifst.net), hereinafter referred to as "the Seller", and any physical or legal entity purchasing a subscription or credit package on the Manifst platform, hereinafter referred to as "the Customer".
Manifst offers four subscription tiers and optional AI credit packs:

Prices are listed in Euros excluding applicable taxes (VAT). Manifst reserves the right to revise pricing at any time. Price updates apply upon subscription renewal.
Orders are placed online via the Manifst application. Subscriptions take effect upon payment confirmation. Order summaries and invoices are made available electronically in the user account section.
Payments are processed securely by credit card, SEPA direct debit, or bank transfer (Enterprise plan). Billed amounts are due at the start of each billing period. Invoices are downloadable from account settings.
Paid plans are subscribed for a twelve (12) month commitment. There is no paid offer without commitment; the Starter plan, free and without a credit card, remains available with no time limit.
Trial period. Any first subscription to the Team plan opens a free trial period of thirty (30) days, limited to one trial per account. A valid payment method is stored when the trial opens, but no amount is charged during the trial. The trial may be stopped at any time from the customer's settings area, at no cost and without justification. Stopping it cancels any future payment; the customer keeps full access until the end of the thirty (30) day period, after which the account returns to the Starter plan. Data entered during the trial is retained, within the limits of that plan.
Start of the commitment. At the end of the trial period, and failing cancellation by the customer, the first payment is taken and the subscription continues. The twelve (12) month commitment runs from that first payment, not from the date the trial opened. For a subscription without a trial period, it runs from the subscription date.
The customer is notified of the end of the trial period by email, seven (7) days and then three (3) days beforehand. Those messages state the amount that will be charged, the date of the charge, and how to stop the trial.
Payment terms. Prices are quoted per user per month, but the subscription is paid in a single payment covering twelve (12) months, at subscription or, where a trial applies, at the end of that trial. The amount charged is the monthly rate multiplied by twelve: for example, a Team subscription at €9 per user per month gives rise to a single payment of €108 excl. VAT per user for the year.
Payment failure. Where a payment opening a new period is declined (the first payment at the end of the trial, or the annual renewal), access to the paid plan's features is suspended immediately and the account returns to the Starter plan, with no grace period. Customer data is retained. Access is restored automatically as soon as a payment is accepted, and the payment method can be updated at any time from the settings area. A decline relating to an adjustment within a period already paid for (a plan change, in particular) does not suspend access and does not affect the paid period.
At term, the subscription renews for a further twelve-month period, with no new commitment, and becomes cancellable at any time, effective at the end of the annual period already paid for.
The commitment end date is displayed in the customer's settings area, under Subscription.
Upgrading to a higher plan takes effect immediately and is charged pro rata for the current period; it does not extend the initial commitment. Downgrading to a lower plan takes effect at the end of the commitment.
Subscriptions taken out before this version of the terms came into force remain governed by the conditions applicable on their subscription date, namely a one-month term renewed by tacit agreement until cancellation.
Cancellation may be requested at any time, in one of two ways. During the trial period and outside any commitment period, it is done directly from the customer's settings area: during the trial it is free of charge and takes effect at the end of the thirty (30) day period, the customer retaining full access until then and no payment being taken; outside a commitment it takes effect at the end of the annual period already paid for. During the commitment period, the request is made to contact@manifst.net and takes effect at the term defined in Article 5. No pro rata refund is issued for the remaining period, except in the cases provided for in Article 7.
The customer keeps access to the Service until the cancellation takes effect. Beyond that date, the account falls back to the Starter plan: data remains readable within the limits of that plan, and exportable as CSV or through the API until the account is closed.
For B2B customers, statutory withdrawal rights do not apply pursuant to applicable commercial laws once digital service execution has started. Consumer customers benefit from a 14-day statutory right of withdrawal from the first payment. Where the subscription was preceded by a trial period, that period therefore runs from the end of the trial, the trial itself having given rise to no payment.
The trial period defined in Article 5 is in addition to this right; it does not replace it.
Manifst guarantees that the Service operates in substantial conformity with its documentation. Total seller liability under any order is capped at the amount paid by the customer during the preceding 12 months.
These Terms of Sale are governed by French law. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
